Atlas Mara Completes Brainworks Sale & Total Voting Rights Update

Atlas Mara Limited ("Atlas Mara" or the "Company"), the sub-Saharan African financial services group, today announces that it has completed the previously announced sale of its 10.1% stake in Brainworks Capital Management (Private) Limited ("Brainworks"), the Zimbabwe-focused private equity and advisory firm, for $8.72 million. In connection with the transaction, Atlas Mara, by way of an indirectly wholly-owned subsidiary, repurchased 664,300 Atlas Mara ordinary shares and received approximately $3.1 million in cash. 

Separately, on July 14, 2015, the Company repurchased 298 shares at a high price of $6.00 and a low price of $5.95, all of which were purchased to be held as treasury shares.

Atlas Mara's total number of ordinary shares in issue is 72,458,524, of which 1,668,559 are now held in treasury (excluding the shares repurchased in connection with the Brainworks sale referenced above and held by an indirectly wholly-owned Atlas Mara subsidiary).

In accordance with rule 5.6.1 of the Financial Conduct Authority's Disclosure and Transparency Rules ("DTRs"), Atlas Mara hereby notifies the market that the total number of voting rights in Atlas Mara is 70,789,965. This figure may be used by shareholders as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, Atlas Mara under the DTRs.
