2260761 Ontario Inc. Increases Its Position in Millrock Resources Inc.

TORONTO, ONTARIO--(Marketwired - Oct. 18, 2013) - As a result of a non-brokered private placement that was completed on October 9, 2013 (the "Private Placement"), 2260761 Ontario Inc. ("2260761") acquired 6,700,000 units ("Units") of Millrock Resources Inc. (TSX VENTURE:MRO) ("Millrock") at a price of $0.0675 per Unit. Each Unit consists of one common share of Millrock (a "Share") and one Share purchase warrant (a "Warrant"), with each Warrant entitling the holder thereof to purchase one additional Share at a price of $0.15 per Share until October 10, 2018.

The 6,700,000 Shares forming part of the Units acquired by 2260761 represent approximately 7.72% of the issued and outstanding Shares on a non-diluted basis (or approximately 14.34%% of the Shares on a partially diluted basis after giving effect to the exercise of the Warrants acquired by the Offeror) immediately following the Private Placement.

Together with the Shares and other Share purchase warrants of Millrock already owned by 2260761, 2260761 now owns a total of 11,962,046 common shares and 10,980,000 common share purchase warrants of Millrock, which represents approximately 13.79% of the issued and outstanding Shares of Millrock on a non-diluted basis, and 23.48% of the issued and outstanding Shares of Millrock on a partially diluted basis after giving effect to the exercise of the Share purchase warrants of Millrock owned by 2260761.

2260761 acquired the Units for general investment purposes and may, in the future, acquire additional securities of Millrock, subject to complying with applicable laws.
