ABC Mining Ventures Inc. Announces Details of Qualifying Transaction and Private Placement

VANCOUVER, BRITISH COLUMBIA--(Marketwire - Sept. 28, 2007) - ABC Mining Ventures Inc. (TSX VENTURE:AMV.P) is pleased to announce that on September 25, 2007 it successfully completed its qualifying transaction with Dundee Mines Ltd. The Company also completed its previously announced private placement of 2,400,000 flow-through shares at $0.30 per share and 1,600,000 non flow-through shares at $0.25 per share for gross proceeds of $1,120,000. The Company's shares will be listed on the Exchange under the trading symbol "AMV" and the Company's shares are expected to commence trading on Monday, October 1, 2007.

The Company currently has 15,416,560 common shares issued and outstanding. 8,019,400 common shares held by principals of ABC are subject to escrow to be released in stages in accordance with applicable securities regulatory policies. A further 898,100 common shares are subject to a 2 year hold period with 20% released every 6 months with the first release upon closing of the Transaction. The 4,000,000 common shares issued pursuant to the Private Placement as well as all shares issued as finders fees are subject to a 4 month hold period expiring January 26, 2008. In connection with the private placement the following finder's fees were paid:

- James Mack - $6,000

- Canaccord Capital Corporation - 166,560 common shares; 68,000 broker's warrants to purchase 68,000 common shares at an exercise price of $0.25 for a one year period; and 209,600 broker's warrants to purchase 209,600 shares at an exercise price of $0.30 for a one year period.

The Company has appointed Garth David Kirkham to the Board of Directors in conjunction with closing the qualifying transaction. Mr. Kirkham has significant experience as a 25 year veteran of the mining industry. He became a Professional Geophysicist with the Association of Professional Geologists, Geophysicists and Engineers of Alberta (APEGGA) in 1987, the Northwest Territories and Nunavut Association of Professional Engineers, Geologist and Geophysicists (NAPEGG) and a Professional Geoscientist with the Association of Engineers and Geoscientists of B.C. (APEGBC) in 2005. Mr. Kirkham is the principal of Kirkham Geosystems Ltd., a full-service provider of geoscience software, a director of Romios Gold Corp., a member of the advisory board for North American Tungsten, and on the Executive of the Geologic Association of Canada, Mineral Deposits Division.
