Bookham Files Shelf Registration Statement and Amends Its Transition Report on Form 10-K for the Period Ended July 3, 2004

SAN JOSE, CA -- (MARKET WIRE) -- August 15, 2005 -- Bookham, Inc., (NASDAQ: BKHM), a leading provider of optical components, modules and subsystems, announced today that it has filed a shelf registration statement with the Securities and Exchange Commission (SEC). Upon being declared effective by the SEC, the shelf registration statement will allow the Company to sell up to $35 million worth of shares of its common stock from time to time in one or more public offerings. The terms of any offering will be established at the time of sale and will be described in a prospectus supplement that Bookham will file with the SEC.

In addition, Bookham today filed an amendment to its Transition Report on Form 10-K for the period ended July 3, 2004. The amendment was filed for the purposes of revising the notes to the financial statements for the period ended July 3, 2004 to describe management's plans to address the need to raise additional funds, and revising the opinion of Ernst & Young LLP, Bookham, Inc.'s independent registered public accounting firm, to include an emphasis of matter paragraph stating that if management is unable to raise additional funds it would significantly adversely affect Bookham's ability to continue operations.
