CD ROM Network Corp. Announces Refiling of Continuous Disclosure Documents

TORONTO, ONTARIO--(Marketwire - April 20, 2010) - CD ROM Network Corp. ("CD ROM" or the "Company") announces that it has, at the request of the Ontario Securities Commission, and in accordance with National Instrument 52-109 – Certification of Disclosure in Issuers' Annual and Interim Filings, re-filed the Certifications of the Chief Executive Officer and the Chief Financial Officer of CD ROM in respect of its interim filings for the quarters ended July 31, 2009 and October 31, 2009. The new certificates replace and supersede the original certificates which were filed on SEDAR on November 24, 2009. In the original certificates, the certifying officers have indicated in paragraph 2 that the procedures were performed on the "annual filings" rather than "interim filings". The re-filing is to correct this error and is made pursuant to a review of CD ROM's continuous disclosure record by the Ontario Securities Commission.

CD ROM also announces it has re-filed the annual Management's Discussion & Analysis ("MD&A) for the years ended April 30, 2009, April 30, 2008 and April 30, 2007 in accordance with National Instrument 51-102 – Continuous Disclosure Obligations section 4.1 (2). The original MD&As included the language "the Company's independent auditors have not performed a review of the financial statements". The re-filing is to correct this error as the financial statements have been audited. In conjunction with the re-filing of the MD&As, the Company has filed new certifications by its Chief Executive Officer and Chief Financial Officer for the year ended April 30, 2009, April 30, 2008 and April 30, 2007.

The above-noted documents have been posted on SEDAR and may be viewed at The Company is subject to cease trade order issued by the Ontario Securities Commission in 2003. The Company is working with the regulators towards a revocation of the cease trade order.
