Chief Justice Myron Steele of the Delaware Supreme Court to Participate in a Mergers & Acquisitions Roundtable Hosted by the Forum for Corporate Directors and University of California, Irvine

Chief Justice Steele and a Panel of Six Highly-Respected Legal Experts Will Address the Current Business Challenges and Opportunities for M&A Transactions, Distressed Company Sales, Shareholder Access Initiatives and Corporate Governance Trends

NEWPORT BEACH, CA--(Marketwire - October 28, 2009) - The Forum for Corporate Directors is joining with University of California, Irvine's prestigious Paul Merage School of Business and the recently founded UCI School of Law to host an M&A Roundtable on Nov. 11, 2009, during which Chief Justice Myron Steele of the Delaware Supreme Court will discuss in a roundtable format issues of concern to board members, senior management and their advisors as they evaluate M&A opportunities. Legal experts from six leading Southern California law firms, who have collectively handled hundreds of notable M&A transactions, will participate with Chief Justice Steele in the roundtable discussion.

According to John Della Grotta, chairman of FCD and a partner at Paul, Hastings, Janofsky & Walker LLP, in the current economic and regulatory environment, it is particularly important to anticipate a variety of issues related to M&A transactions including: 1) the current standards of review, 2) whether these standards of review change in a distressed company sale, 3) whether Federal trends toward shareholder democracy will have an impact on the interpretation of Delaware law in this area, and 4) how to ensure that the independent committee of the board of directors is truly independent.

His participation, along with the six other legal experts we have assembled for this panel, creates a rare opportunity for the Orange County business community to hear first-hand about strategies for navigating successfully through M&A transactions in today's marketplace," Della Grotta said.

We expect to address these strategic issues in the same way that advisors would evaluate and make recommendations about a transaction to the executives and financial team and the board at an acquiring company or a target company in an acquisition setting," he said.

The UCI School of Law enrolled its inaugural class in August 2009 and is the first new public law school in California in more than 40 years.

Chief Justice Steele also will deliver a keynote address which is entitled: "Corporate Governance -- A View From the Top" at the FCD Directors' Institute, a two-day conference to be held on Nov. 10 - 11, 2009, also at the Hyatt Regency in Irvine, California. This annual FCD conference, now in its sixth year, provides ISS Risk Metrics-certified director education, highlighting a best practice approach to corporate governance, as well as providing an update on anticipated legislative and regulatory reforms and how they are likely to change decision making in the boardroom. Panelists for the numerous sessions to be held during the two-day conference include C-Level executives from over 20 Southern California public and private companies as well as partners from several national accounting and law firms.

In addition, Richard Koppes, of counsel with Jones Day in San Francisco, will deliver a luncheon address entitled: "Trends in Corporate Governance -- What Will the Future Bring?" at the Directors' Institute on Tuesday, Nov. 10. Koppes was formerly the deputy executive officer and general counsel of the California Public Employees Retirement System (CalPERS).
