Goodman & Company Files Final Prospectus for CMP Gold Trust

TORONTO, ONTARIO--(Marketwire - Dec. 27, 2007) -

Goodman & Company, Investment Counsel Ltd. ("Goodman & Company" or the "Manager"), manager of the Dynamic family of mutual funds, announces today that it has filed and received a receipt from securities regulators across Canada for a final prospectus (the "Final Prospectus") for the CMP Gold Trust (the "Trust") dated December 20, 2007. The closing of the offering is expected to occur on or about January 25, 2008.

Offering: The Final Prospectus qualifies an initial public offering of up to 10,000,000 units of the Trust ("Unit") at a price of $10.00 per Unit. Each Unit consists of one trust unit of the Trust (a "Trust Unit") and one series A trust unit purchase warrant (a "Series A Warrant"). The Trust Units and the Series A Warrants comprising the Units will immediately be separable upon issue.

Each Series A Warrant will entitle the holder thereof, upon exercise of such Series A Warrant at an exercise price of $12.00, to acquire one Trust Unit and one-half of one series B trust unit purchase warrant (each whole series B trust unit purchase warrant, a "Series B Warrant"). Each Series A Warrant will be exercisable in accordance with its terms on or after the closing date of the Offering (the "Closing Date") to and including the date that is the third anniversary of the Closing Date (the "Series A Warrant Expiry Date"). Series A Warrants that are not exercised by 5:00 p.m. (Toronto time) on the Series A Warrant Expiry Date will be void and of no value.

Each whole Series B Warrant will entitle the holder thereof, upon exercise of such Series B Warrant at an exercise price of $15.00, to acquire one Trust Unit. Each Series B Warrant will be exercisable in accordance with its terms on or prior to the date that is the fifth anniversary of the Closing Date (the "Series B Warrant Expiry Date"). Series B Warrants that are not exercised by 5:00 p.m. (Toronto time) on the Series B Warrant Expiry Date will be void and of no value. Series A Warrants and Series B Warrants are collectively referred to as "Warrants". No fractional Trust Units will be issued upon the exercise of any Warrants. No fractional Series B Warrant will be issued upon any exercise of Series A Warrants and any entitlement to any such fractional Series B Warrant will be terminated at the time of exercise of any such Series A Warrant and no consideration will be payable in lieu thereof.

TSX Conditional Listing: The Toronto Stock Exchange (the "TSX") has conditionally approved the listing of the Trust Units, Series A Warrants and Series B Warrants subject to the fulfillment of the requirements of the TSX on or before February 18, 2008. The Trust Units will trade under the symbol CMP.UN and the Series A Warrants and Series B Warrants will trade under the symbols CMP.WT.A and CMP.WT.B, respectively.

Investment Objective: The Trust's investment objective is to provide holders of Trust Units with inflation protection, capital preservation and long-term capital appreciation through investment in a portfolio consisting of precious metals and the securities of issuers engaged exploration, development, production or marketing of precious metals and other minerals and issuers who provide services or materials to such precious metals and other minerals issuers.
