International Royalty to Raise C$50 Million In Bought Deal Financing

DENVER, COLORADO--(Marketwire - June 23, 2009) -


International Royalty Corporation (TSX:IRC)(NYSE Amex:ROY) (the "Company" or "IRC") is pleased to announce that it has entered into an agreement with a syndicate of underwriters which has agreed to purchase, on a bought deal basis, 14,100,000 common shares of the Company ("Shares") at a price of C$3.55 per Share for aggregate proceeds of approximately C$50 million. Scotia Capital Inc. will lead the syndicate, which also includes CIBC World Markets Inc., Raymond James Ltd., Haywood Securities Inc. and Dahlman Rose & Co.

The underwriters will also have an option, exercisable in whole or in part for a period of 30 days after closing, to purchase up to an additional 2,115,000 Shares on the same terms and conditions to cover over-allotments and for market stabilization purposes.

The offering is expected to close on or about July 15, 2009, and is subject to the receipt of all necessary approvals, including the approval of the Toronto Stock Exchange and the NYSE Alternext. Proceeds of the offering will be used for general corporate purposes.
