Overhill Farms, Inc. Announces Board Resignation

LOS ANGELES, CA -- (MARKET WIRE) -- September 30, 2005 -- Overhill Farms, Inc. (AMEX: OFI) today announced that Steven E. Hartman has voluntarily resigned, effective today, from the Company's board of directors. There was no disagreement between Mr. Hartman and the Company on any matter relating to the Company's operations, policies, practices or otherwise.

Mr. Hartman is Principal of Levine Leichtman Capital Partners, Inc., which manages an investment fund that holds significant debt and equity interests in Overhill Farms.

Jim Rudis, Chairman and CEO of Overhill Farms, said: "We appreciated Steve's services as a member of our Board and we look forward to continue working with him as a representative of Levine Leichtman." The Company has no current plans to fill the vacancy prior to the next stockholders meeting, at which time the Company will evaluate whether to seek qualified candidates for the position or reduce the size of its Board of Directors.
