Oxford Media Announces New Dealer Agreement With SkyPath Satellite Systems, Inc.

IRVINE, CA, -- (MARKET WIRE) -- January 24, 2006 -- Oxford Media, Inc. (OTC BB: OXMI), a secure digital communication and technology company, announced today its wholly owned subsidiary, Oxford Media Corp., has signed a dealer agreement with SkyPath Satellite Systems, Inc. for digital Video-On-Demand and Pay-Per-View entertainment.

With the launching of high-powered direct broadcast satellites and its inexpensive alternative to cable programming, SkyPath Satellite Systems of the Dallas/Fort Worth Metroplex, saw a unique opportunity to carry the advantages of satellite over cable to the hotel sector in providing "free to guest" programming to over 300 plus hotels, all with a small, one dish solution. "The 200 plus digital channel cable model is not fitting the 100 room properties," says Norris Palmer, VP of SkyPath. Palmer went on to state that, "The cable companies' models are built primarily for residential consumption. Putting everything on a digital tier will require a very expensive digital box for every channel, and the payback for the cable company is nowhere near what a residential payback produces. Our receivers are a minimal investment, and when you combine all the advantages of satellite with the eMOD PPV system, you basically have a combo entertainment package that can actually reduce the costs of what the hotel was paying to the cable company. The offering is based on flexibility to the hotelier. We offer various Satellite Programming packages, combined with the eMOD Pay-Per-View for a complete "smorgasbord" of entertainment value; the more movies purchased, the more offset there is to the fixed entertainment expense, and if you package it correctly, you can come out way ahead of the cable offering."

With over 30 years experience in the cable and Satellite industry, SkyPath Satellite Systems markets, installs and proudly services Master Antenna Television Systems (MATV) and Satellite Master Antenna Television Systems (SMATV) for the Hotel-Motel Market, Apartments, Condominiums, Sports Arenas, Commercial Facilities and Travel Centers. Their specialties include but are not limited to Full Computer Aided Design Layouts with All Tap Values Needed, Cabling, Wall Plate Finish out, and Devicing at the Head-end, Compact Dish, Free-to-Guest Programming Satellite/Off-Air Multiple Channel Head-end Systems.

"In these days of internet protocol, we are seeing very few 'specialists' who know a lot about getting RF Distribution down pat," says Samuel Walker, President of SkyPath. "You would be amazed at the system reconstruction we have had to do," he added. "Our commitment to our customers continues to be our driving force," says John Enlow, CEO of SkyPath. "The future looks bright in the limited service sector, as cable continues to rise in cost and contract lengths."

Tom Hemingway, CEO of Oxford Media, Inc., stated, "SkyPath provides tremendous value to us and especially our clients. This venture allows us to grow organically and achieves yet another milestone in OXMI's business strategy in becoming a diversified digital media content and communications technology company."

Oxford Media Corp. recently began a sales and marketing campaign of its proprietary digital Video-On-Demand and pay-for-view entertainment system, known as eMOD, aimed at the small and mid-sized hotels and motels -- a segment of the hotel industry previously underserved and unable to offer such services to their guests. This targeted market of hospitality properties with between 50 to 300 rooms comprises over 2.4 million hotel rooms in the U.S. and represents approximately 56% of the total hotel market.

Oxford's eMOD digital video-on-demand system is a scalable turnkey digital Video-on-Demand System with the latest Hollywood Movies and guest information. The low-cost system is very affordable when compared to other digital systems currently employed by larger properties and consequently can be profitable for hotels with as few as 50 rooms. Moreover, the system is scalable to meet the demands of small properties in the economy and limited service marketplace as well as larger properties with full service features. Hotels of all sizes can now create a new revenue center and have the option to acquire their video-on-demand system with a very attractive return-on-investment (ROI), or lease the system without utilizing capital funds while generating a positive cash flow.

The eMOD digital video-on-demand system has features found in more expensive systems like DVD capabilities (pause, fast forward, rewind), the simultaneous viewing of a movie by many guests, ease of use and a large selection of movie choices. What differentiates eMOD from other video-on-demand systems is the many ways it captures revenue. Through the PMS Interface for direct billing to the folio, through direct billing to the guest's credit card and most important for small hotels is the ability to include the guest who is paying cash for the room.

The eMOD digital video-on-demand system is a turnkey solution that runs on the existing RF cable plant already installed in the property and integrates easily with both satellite and cable Free-To-Guest (FTG) systems. It can work with both smart and non-smart plug televisions. This low-cost, compact, and energy-efficient video-on-demand system requires little maintenance and utilizes remote diagnostics and maintenance for maximum uptime.
