Riverstone Raises $2.1 Million

VANCOUVER, BRITISH COLUMBIA--(Marketwire - June 18, 2009) -

Riverstone Resources Inc. (TSX VENTURE:RVS)(FRANKFURT:3RV) announces that it has closed its previously announced non-brokered private placement, raising gross proceeds of $2,100,000.

A total of 14,000,000 Units were sold at a price of $0.15 per Unit, each Unit comprising one common share and one-half of one common share purchase warrant. Each whole warrant is exercisable to acquire one additional common share at a price of $0.20 per share until June 17, 2011. Finders' fees of approximately $113,000 and 755,576 warrants were paid and issued in connection with the financing. The finders' warrants have the same terms as the warrants forming part of the Units.

All securities issued are subject to a hold period and may not be traded until October 18, 2009, except as permitted by Canadian securities legislation and the TSX Venture Exchange.

The net proceeds of the private placement will be used for further exploration of the Company's Karma project and for working capital.

The directors of the Company approved the participation by a director in the private placement on the same terms as arm's length investors in the amount of 90,000 Units. The interested director abstained from approving the transaction to the extent of said director's participation, and his shareholdings in the Company have increased as a result of such participation.
