an amalgamation with 2053938 Ontario Limited pursuant to a Letter of
Intent dated September 8, 2004 and evidenced by a Certificate and
Articles of Amalgamation dated January 7, 2005. The Company's
shareholders will receive one Redeemable Preferred Share of Amalco for
every one share held. Immediately following the amalgamation, each
Redeemable Preferred Share will be redeemed for a cash amount equal to
Cdn$0.02 per share effectively taking the Company private. For further
