Change of Business

An Amended and Restated Asset Purchase Agreement dated October 20,
2004 among the Company, Zecotek Photonics Inc. ("Photonics") (
wholly owned subsidiary of the Company) and Zecotek Holdings Inc.
("Zecotek") whereby Photonics can acquire all of the assets of
Zecotek pertaining to a proprietary scintillation material that can
be used in the design of PET (whole body positron emission
tomography) scanners. Consideration consists of 2,400,000 shares
payable to Zecotek (controlled by Dr. Faouzi Zerrouk and Michel
Coderre). The 2,400,000 consideration shares will be subject to a 6
year surplus escrow. In addition, the Company will (i) issue 140,000
shares to Ledross Properties Ltd ("Ledross"). as reimbursement for
$70,000 previously advanced to Zecotek and (ii) 400,000 units to
certain creditors of Zecotek that had provided bridge financing of
$200,000 to Zecotek. The units consist of one share and one-half
share purchase warrant with one full warrant exercisable into one
share for $.75/share for 6 months.

A finder's fee is payable to Ledross Holdings Inc. in the amount of
202,000 shares

Completion of Short Form Offering Document

The Company's Short Form Offering Document dated December 15, 2004
was filed with and accepted by TSX Venture Exchange on December 20,
