Mines Limited (the 'Company'), and three (3) arms-length parties (the

'Ashdown Property'), located in Denio, Nevada. Under the terms of the
agreement reached with royalty holders, the Company will acquire the
2% royalty on net taxable income that would have increased to a 10%

from net taxable income.

The consideration given for the acquisition is a cash payment of
US$125,000, and the issuance of 187,500 common shares of the Company.
