The Griffin Corporation Files Appeal

KITCHENER, ONTARIO--(CCNMatthews - Jan. 12, 2007) - The Griffin Corporation (TSX VENTURE:GRN): In the decision previously rendered by the Ontario Superior Court of Justice at Toronto with respect to the Application filed by Gerald Kluwak against the Corporation, the Court clarified the following:

(a) A shareholders meeting to elect the directors is to be held on March 9,

(b) The Record Date for the shareholders entitled to vote is May 23, 2006.

(C) The Applicant and dissidents shall provide management with their
proposed Dissident Proxy Circular by January 19, 2007.

(d) Management shall respond to that Dissident Proxy Circular by January
26th, 2007.

(e) Management shall complete its Management Proxy Circular by January 31,

(f) A joint mailing of the circulars shall occur with notice of the meeting
on February 5, 2007.

(g) The Dissidents shall share with the Corporation the cost of such

(h) The Proxy cut-off time shall be 48 hours prior to the commencement of
the shareholders meeting.

The Corporation has filed a notice to appeal the decision rendered by the Court and will be bringing a Motion for Stay of Judgment. The Corporation believes that the cut off date of May 23, 2006 will be, interalia, disenfranchising a significant number of shareholders. The Corporation will keep the shareholders informed of any further developments on this matter.
