WebTech Wireless Announces Details of Private Placement to Certain Members of Senior Management and Directors

VANCOUVER, BRITISH COLUMBIA--(Marketwire - March 26, 2010) - WebTech Wireless Inc. (TSX:WEW) ("WebTech" or the "Company"), a leading provider of vehicle fleet location-based services (LBS) and telematics technology, is pleased to announce details of its previously announced, non-brokered private placement to certain members of senior management and the Company's Board of Directors (the "Private Placement"). Pursuant to the Private Placement, the Company intends to issue 833,333 common shares at a price of $0.60 per common share to certain members of senior management and the Company's Board of Directors for gross proceeds of $500,000.

The Company intends to use proceeds of the Private placement for working capital and general corporate purposes. The Private Placement is subject to certain conditions, including the approval of the Toronto Stock Exchange (the "TSX").

The Private Placement is being conducted to increase the equity interest directors and members of senior management in the Company. It is anticipated that the Private Placement will help to further align the interests of members of senior management and the board of directors with those of the Company and its shareholders. The Private Placement will also allow the new members of management and the Board of Directors to express their confidence in the Company to investors, and to provide a mechanism for the new CEO and certain directors, to achieve share ownership that meets the Company's newly adopted compliance policies regarding ownership positions held by directors and officers.

Under the Private Placement, members of the board of directors and management are anticipated to acquire Common Shares as follows, Brian Boychuk (54,167) , Glen Brownlee (41,667), Paul Christie (41,667), Scott Edmonds (416,667), Andrew Moore (54,167), Owen Moore (166,667), Dru Narwani (16,667) and Peter W. Roberts (41,667) (collectively, the "Related Parties").

The Private Placement will be a "related party transaction" as defined in Multilateral Instrument 61-101 – Take-Over Bids and Special Transactions ("MI 61-101"). The Company is relying on exemptions found in sections 5.5(a) and 5.7(a) of MI 61-101 to exempt the Company from conducting a formal valuation of, and obtaining minority approval for, the Private Placement. These exemptions are available to the Company because the total gross proceeds of the Private Placement are anticipated to be a maximum $500,000, or less than 1% of the Company's market capitalization.

The Private Placement was reviewed and approved by the sole disinterested member of the board of directors at a directors' meeting held on March 22, 2010 (the "Directors' Meeting"). At the Directors' Meeting the following individuals disclosed their interest in the Private Placement and abstained from voting on matters relating to the Private Placement: Glen Brownlee, Scott Edmonds, Owen Moore, Paul Christie, Dru Narwani and Peter Roberts.

It is anticipated that each of the Related Parties will enter into a subscription agreement with the Company with respect to the Private Placement upon terms and containing representations and warranties by the parties standard to such transactions.

It is anticipated that the Private Placement will close two business days following the receipt of conditional approval of the Private Placement from the TSX, which is anticipated to be on or about March 31, 2010. Given the de minimis nature of the transaction and the interests of the Company in having the Private Placement close before the end of its current fiscal quarter it is reasonable for this transaction to close in less than 21 days from the announcement of the Private Placement.
