Abertis Begins Its Way Out From Schemaventotto

BARCELONA, SPAIN--(Marketwire - January 29, 2008) - abertis' Executive Committee today decided to initiate the steps required to exit Schemaventotto (S28).

Currently abertis holds a 13.33% stake in S28 which in turn controls 50.01% of Atlantia (formerly Autostrade).

Last June the shareholders of S28 agreed to a new shareholders' agreement with validity until 31 December 2008. The agreement gave abertis the scope to determine its position on exiting S28 in January 2008.

Today abertis notified all the shareholders of S28 (Sintonia, Fondazione Cassa di Risparmio di Torino, Assicurazioni Generali and Unicredit) of its request that S28 initiate the procedure to enable it to exit the company. By the time the process is complete, abertis will own a direct stake of 6.67% in Atlantia S.p.A.

As disclosed at the time, the agreement signed in June 2007 reflected the wish of the shareholders of S28 to avail of a longer period of time to determine whether or not the conditions required to culminate the Atlantia - abertis merger, as initially negotiated, were met.

The decision taken by abertis reflects the fact that, despite the excellent relations between both companies and their core shareholders, the conditions needed to complete the merger project initiated in April 2006 are not in place.

abertis continues to await the European Commission's definitive ruling on the actions by the Italian government which, at the time, obstructed a cross-border business combination falling under the Commission's jurisdiction and which had unanimous shareholder support and the green light from the competent European anti-trust authorities.
