Acquisition of Common Shares of EcoSynthetix Inc.

On August 4, 2011, Lions Investment Ltd. ("Lions") acquired ownership of up to 13,421,245 common shares (the "Shares") of EcoSynthetix Inc. (the "Company") pursuant to an agreement of purchase and sale entered into in connection with the initial public offering of the Company. The Shares were issued from treasury at a price of $9.00 per Share. As a result of this acquisition, Lions owns up to 13,421,245 common shares of the Company, representing 30.4% of the currently issued and outstanding common shares of the Company.

The Shares were acquired by Lions for investment purposes. Lions may, depending on market and other conditions, increase or decrease its beneficial ownership, control or direction over, or exercise its current rights to acquire, common shares or other securities of the Company through market transactions, private agreements or otherwise.
