Algonquin Power & Utilities Corp. Announces $150 Million Bought Deal Offering of Common Shares

Algonquin Power & Utilities Corp. ("APUC") (TSX:AQN) today announced that it has entered into an agreement with a syndicate of underwriters (the "Underwriters") led by CIBC World Markets and TD Securities, under which the underwriters have agreed to buy, on a bought deal basis, 16,860,000 common shares (the "Common Shares"), at a price of C$8.90 per Common Share for gross proceeds of C$150 million (the "Offering").

APUC has granted the Underwriters an option, exercisable at the Offering price for a period of 30 days following the closing of the Offering, to purchase up to an additional 15% of the Offering to cover over-allotments, if any.

Net proceeds of the Offering will be used to finance certain of APUC's previously disclosed growth opportunities, reduce amounts outstanding on APUC's credit facilities and for general corporate purposes.

The Offering will be made in all provinces of Canada and is expected to close on or about September 16, 2014, subject to the receipt of all necessary regulatory and stock exchange approvals.

The Common Shares will be offered to the public in Canada by way of a supplement to APUC's short form base shelf prospectus dated February 18, 2014.
