Argosy Energy Inc. Announces $12.55 Million Bought Deal Financing


CALGARY, ALBERTA--(Marketwire - Jan. 20, 2011) -

ARGOSY ENERGY INC. ("Argosy") (TSX:GSY) is pleased to announce that it has entered into an agreement with a syndicate of underwriters co-led by GMP Securities L.P. and Desjardin Securities Inc. and including Canaccord Genuity Corp., Clarus Securities Inc. and Maison Placements Canada Inc. (the "Underwriters") pursuant to which the Underwriters have agreed to purchase, on a "bought deal" basis, 3.0 million common shares ("Common Shares") of Argosy at a price of $2.95 per Common Share (the "Common Share Issue Price") and 1.0 million Common Shares to be issued as "flow-through shares" ("Flow-Through Shares") within the meaning of the Income Tax Act (Canada) (the "Tax Act") at a price of $3.70 per Flow-Through Share (the "Flow-Through Share Issue Price") for aggregate gross proceeds of $12.55 million (the "Offering").

Argosy has also granted the Underwriters an option (the "Over-Allotment Option") to purchase up to an additional 450,000 Common Shares at the Common Share Issue Price to cover over-allotments, if any, for additional gross proceeds of approximately $1.3 million. The Over-Allotment Option is exercisable in whole or in part at any time until 30 days after the closing of the Offering. 

In consideration for its services in connection with the Offering, the Underwriters will be paid a fee equal to 6% of the gross proceeds of the Offering.

Proceeds of the Offering will be used to fund capital expenditures and for general corporate purposes and, in the case of the Flow-Through Shares, will be used to incur Canadian Exploration Expenses (as such term is defined in the Tax Act) prior to December 31, 2012 (the "Flow-Through Commitment"). Argosy will renounce such Canadian Exploration Expenses to the subscribers of the Flow-Through Shares effective on or before December 31, 2011.

Pursuant to the Offering, the Common Shares and Flow-Through Shares will be offered in all provinces of Canada, by way of a short form prospectus and by way of private placement in the United States pursuant to exemptions from the registration requirements pursuant to [Rule 144A and/or] Regulation D of the United States Securities Act of 1933.

Closing of the Offering is expected to occur on or about February 11, 2011 and is subject to certain customary conditions including, but not limited to, the receipt of all necessary approvals including the approval of the Toronto Stock Exchange.
