Atna Announces Filing of Preliminary Short Form Prospectus

GOLDEN, COLORADO--(Marketwire - Nov. 17, 2010) -


Atna Resources Ltd. ("Atna" or the "Company") – (TSX:ATN) is pleased to announce that it has filed a preliminary short form prospectus with securities regulatory authorities in each of British Columbia, Alberta, Ontario and Nova Scotia in connection with the bought deal financing announced on November 10, 2010 (the "Offering"). The Company has entered into an underwriting agreement with a syndicate of underwriters led by Canaccord Genuity Corp. and including Octagon Capital Corporation (the "Underwriters") pursuant to which the Underwriters have agreed to purchase 13,350,000 units (the "Units") of the Company at a price of CAD$0.60 per Unit for gross proceeds of CAD$8,010,000. Each Unit will consist of one common share of the Company and one-half of one common share purchase warrant (each whole warrant, a "Warrant"). Each Warrant will entitle the holder to subscribe for one additional common share for a period of 24 months from the closing of the Offering at an exercise price of CAD$0.70.

In addition, the Company has granted the Underwriters an over-allotment option, exercisable in whole or in part at any time until 30 days following the closing of the Offering, to purchase an additional 2,002,500 Units at CAD$0.60 per Unit to raise additional gross proceeds of up to CAD$1,201,500.

The Underwriters will receive a cash fee equal to 6.5 percent of the gross proceeds raised through the Offering and the over-allotment option. The Company will also issue warrants ("Broker Warrants") equal to 6.5 percent of the total Units issued. Each Broker Warrant shall be exercisable to acquire one common share of the Company at an exercise price of CAD$0.70 for a period of 24 months from closing of the Offering.

The Company intends to use the net proceeds from the Offering for drilling and construction projects at its Briggs Gold Mine in California and its Reward Project in Nevada, and for general corporate purposes.

Closing of the Offering is anticipated to occur on or before December 2, 2010 and is subject to certain conditions including, but not limited to, the receipt of applicable regulatory approvals including approval of the Toronto Stock Exchange.
