AVST Completes Exclusive Long-Term Agreement With Voice Mobility International for Unified Communications Cloud Technology

FOOTHILL RANCH, CA--(Marketwire - February 1, 2011) - Applied Voice & Speech Technologies, Inc. (AVST), today announced the completion of a long-term agreement with Voice Mobility International, Inc. (NEX: VMY.H) (PINKSHEETS: VMII) (FRANKFURT: VMY) (Voice Mobility or VMI) for the exclusive use of Voice Mobility's unified communications (UC) cloud technology, including all intellectual property related to the UCN250 unified communications as a service (UCaaS) platform. Terms of the transaction included the issuance of AVST equity in exchange for a ten year exclusive license for VMI's UCaaS technology and additional issuances of AVST equity in the future based upon AVST achieving certain revenue and distribution milestones with VMI's UCaaS technology. AVST also has the right to purchase and VMI has the right to sell to AVST the VMI UCaaS technology.
