Axway: Proposed Merger With Cyclone Commerce

A Major Development in Axway's and Cyclone's Global Strategy

PARIS and SCOTTSDALE, AZ -- (MARKET WIRE) -- December 13, 2005 -- Axway Software, a wholly owned subsidiary of Sopra Group, and Cyclone, the Collaborative Commerce Company, have announced their intention to merge their businesses. On completion, the combined global entity will solidify worldwide leadership in the B2B, SOA and collaborative services domains as well as provide new development opportunities to clients and employees.

Axway will acquire, in cash, 100% of the share capital of Cyclone Commerce. This project is subject to regulatory approval and should be finalized by the 31st December 2005. Cyclone should be consolidated in Axway accounts as of the 1st January 2006. Further details will be announced after the agreement is completed.

This merger is in line with Axway's and Cyclone's global development strategy. The complementary geographic positioning of the two companies will create a global leader in the B2B, SOA and collaborative services domains, capable of serving the needs of the largest multinational corporations.

The products of Cyclone will be maintained and integrated in an updated version of Axway's XIP integration platform. The 7,000+ clients will thus benefit from expanded offerings in line with the full portfolio of services and expertise currently offered by Axway and Cyclone.

After an initial integration phase, the combined operations should grow above 10%, generating revenues estimated between $130-140 million in 2006. The merger will also offer enhanced career opportunities for the 800+ employees.
