Banks Island Gold Ltd. (the "Company") (TSX VENTURE:BOZ) announces a non-brokered private placement offering (the "Offering") of up to 5,000,000 units (a "Unit") at a price of $0.60 per Unit, to raise gross proceeds of $3 million. Each Unit consists of one common share and one-half (1/2) of a share purchase warrant. Each whole warrant will entitle the holder to purchase one additional common share in the capital of the Company for a period of one (1) year from the date of issuance at a price of $1.00 per warrant share. If, during the exercise period of the warrants, the closing price of the Company's common shares is $1.50 per share or higher for 20 consecutive trading days, the Company may accelerate the expiry date of the warrants to 30 days from the date written notice of same is provided to the holders.
The Company may pay a finder's fee of up to 8% of the gross proceeds of the Offering to finders of qualified subscribers. The finder's fee may be payable in cash or securities of the Company.
The Company intends to use the net proceeds of the Offering for potential acquisitions and for continued exploration and development activities on its Yellow Giant Gold Property located on Banks Island in British Columbia.
Closing of the Offering is anticipated to occur on or before May 15, 2012 and is subject to receipt of applicable regulatory approvals including approval of the TSX Venture Exchange.
