Banro Announces Pricing for Financing

TORONTO, ONTARIO--(Marketwire - Sept. 10, 2008) - Banro Corporation ("Banro" or the "Company") (TSX:BAA)(AMEX:BAA) is pleased to announce that it has entered into an agreement with a syndicate of underwriters led by RBC Capital Markets and including CIBC World Markets Inc., UBS Securities Canada Inc. and Raymond James Ltd. to sell 11,000,000 units of the Company at a price of U.S.$1.75 per unit to raise gross proceeds of approximately U.S.$19,250,000. Each unit will consist of a common share and one half of one common share purchase warrant. Each whole warrant will allow the holder to purchase a Banro common share for US$2.20 per share for a period of 36 months. The underwriters have been granted an option, exercisable for a period of 30 days from the date of closing of the offering, to purchase up to an additional 1,000,000 common shares and 500,000 warrants to cover over-allotments and for market stabilization purposes.

The units will be offered by way of a short form prospectus in all of the provinces of Canada (other than Quebec) and will be registered in the United States pursuant to a registration statement filed under the multi-jurisdictional disclosure system, and will also be offered on a private placement basis in certain jurisdictions outside of Canada and the United States pursuant to applicable prospectus exemptions. A preliminary short form prospectus relating to the offering has been filed with each of the provincial securities regulatory authorities in Canada (other than Quebec) and a registration statement relating to the offering has been filed with the United States Securities and Exchange Commission but has not yet become effective. These units may not be sold nor may offers to buy be accepted prior to the time the registration statement becomes effective.
