BFI Canada Ltd. Announces Exercise of Underwriters' Over-Allotment Option

TORONTO, ONTARIO--(Marketwire - March 27, 2009) -

BFI Canada Ltd. (the "Corporation") (TSX:BFC) announced today that the syndicate of Underwriters (defined below) for its recently-completed C$80,750,000 bought deal financing have exercised their over-allotment option in full to purchase an additional 1,275,000 common shares of the Corporation (the "Shares") at a price of C$9.50 per Share.

The aggregate gross proceeds from the exercise of the over-allotment option total C$12,112,500. The closing of the over-allotment option is expected to occur on or about March 30, 2009. The net proceeds from the previously announced public offering, which closed on March 6, 2009, and the over-allotment option exercise are being used to repay a portion of the outstanding borrowings under the Corporation's U.S. senior revolving credit facility. The underwriting syndicate was co-led by TD Securities Inc., RBC Capital Markets and CIBC World Markets Inc., and included National Bank Financial Inc., BMO Capital Markets, Scotia Capital Inc., Clarus Securities Inc., Cormark Securities Inc., Macquarie Capital Markets Canada Ltd., Octagon Capital Corporation and Raymond James Ltd. (the "Underwriters").
