Birch Lake Energy Inc. Closes $1 Million Private Placement Financing

CALGARY, ALBERTA--(Marketwire - Dec. 22, 2010) - Birch Lake Energy Inc. ("Birch Lake" or the "Corporation) (TSX VENTURE:BLK) is pleased to announce the closing of its $1,000,000 non-brokered private offering, subject to TSX Venture Exchange final approval. The Corporation issued a total of 5 million units at a price of $0.20 per unit for total gross proceeds of $1,000,000. Each unit consists of one common share and one half of one common share purchase warrant. Each whole warrant entitles the holder thereof to acquire one additional common share at a price of $0.50 per share for a period of 8 months from the closing. If, at any time after the expiry of the 4 month hold period, the closing price of the common shares of Birch Lake trade on the TSX Venture Exchange at a price of at least $1.00 for a period of 5 consecutive trading days, the Corporation may, at its option, accelerate the expiry date of the warrants by giving written notice thereof to all holders of warrants, and, in such case, the warrants will expire on the date which is the earlier of: (i) the 21st day after the date on which such written notice is given by the Corporation; and (ii) the original expiry date. The securities issued in connection with the offering will be subject to a four month hold period that expires on April 22, 2011. The net proceeds from the offering will be used to finance the Corporation's continuing capital program and for general working capital purposes.

Finders acting in connection with the private placement received aggregate fees of $67,000 and 335,000 finder's warrants. Each finders warrant entitles the holder to purchase one common share at $0.20 per share for a period of one year after the closing.

David Stadnyk, a director of the Corporation, subscribed for 62,500 units and William Petrie, the President and CEO of the Corporation, subscribed for 200,000 units under the offering. Birch Lake has determined that there are exemptions available from the various requirements of TSX Venture Policy 5.9 and Multilateral Instrument 61-101 for the issuance of these units, (Formal Valuation - Issuer Not Listed on Specified Markets; Minority Approval - Fair Market Value Not More Than 25% of Market Capitalization). No new insiders were created, nor has any change of control occurred, as a result of this private placement.

William Petrie, President and CEO of Birch Lake, states "We are pleased with the strong support from the investment community. Birch Lake is now in a stronger position to pursue the acquisition of higher impact oil opportunities in Alberta, Saskatchewan and internationally."
