Black Birch Capital Provides Update on Proposed Qualifying Transaction

Black Birch Capital Acquisition I Corp. ("Black Birch") (TSX VENTURE:BBC.P), a capital pool company, is pleased to announce that, further to its press releases issued March 4, 2011, March 22, 2011, and April 25, 2011 regarding its qualifying transaction ("Qualifying Transaction"), with Oremex Resources Inc., (TSX VENTURE:ORM) and 7678576 Canada Inc. ("Oremex Gold") that it has now filed the Filing Statement with the TSX Venture Exchange.

Conditions to Completion of the Proposed Transaction:

The Closing is subject to satisfaction or waiver of terms and conditions, customary or otherwise, including but not limited to satisfactory completion of the Equity Financing, acceptance by the Exchange of the Proposed Transaction and other applicable shareholder and regulatory approvals.
