Blue Earth Announces Formation of E2B Growth, Inc. as a YieldCo Vehicle

HENDERSON, NV--(Marketwired - May 28, 2015) - Blue Earth, Inc. (NASDAQ: BBLU), an alternative/renewable energy and energy efficiency services company ("BBLU" or the "Company"), announced today that it has formed E²B Growth, Inc. ("E²B") as a new wholly owned subsidiary of BBLU. E²B has been organized to serve as a YieldCo vehicle and, once funded, is expected to purchase alternative/renewable energy projects from BBLU and third parties using a combination of cash and equity.

The BBLU board of directors intends to contribute, at a future date to be determined, certain of the Company's combined heat and power ("CHP") assets to the newly formed entity in consideration for a combination of cash and common stock of E²B. BBLU anticipates that a portion of the equity it receives from E²B in consideration for such assets will be distributed to its shareholders in the form of a dividend at the time of and in conjunction with its proposed funding of E²B.
