Board Links Shrinking, Board Network Growing

Study Suggests Major Changes in Director and Board Relationships Over the Past Four Years Are Linked to Sarbanes-Oxley

PORTLAND, ME -- (MARKET WIRE) -- September 18, 2006 -- The Corporate Library (TCL) today published its latest survey of U.S. corporate board structures and networks. Over 14,000 board positions and their interrelationships were evaluated for the study, which spans four years' worth of board and directorship data. Findings suggest that the Sarbanes-Oxley Act of 2002 has had a lasting and far-reaching impact on the corporate board network in the U.S.

Jackie Cook, TCL's senior research associate for director interlocks and the author of the study, commented: "The most interesting finding is that while links are being lost from the network year-on-year, the network of large corporation boards is holding together more firmly than ever. This apparently contradictory finding has to do with the pattern of loss of links."

Ms. Cook concludes that the changes are to a large degree related to Sarbanes-Oxley, and that larger company and smaller company boards are affected in different ways.
