Brookfield Bridge Lending Fund Acquires Units of Second Wave Petroleum Ltd.

CALGARY, ALBERTA--(Marketwire - May 9, 2008) -


Brookfield Asset Management Inc. (TSX:BAM)(NYSE:BAM) announces that its bridge lending fund (the "Fund"), has acquired by way of private placement 40,000,000 units ("Units") of Second Wave Petroleum Ltd. ("Second Wave") at a price of $0.25 per Unit. Each Unit is comprised of one class A share ("Class A Shares") and 0.6 of one Class A Share purchase warrant. Each Class A Share purchase warrant is exercisable for one additional Class A Share at a price of $0.3125 per share for a period of 2 years. This acquisition resulted in the Fund acquiring an additional 40,000,000 Class A Shares of Second Wave. The Fund now holds 188,895,454 Class A Shares in Second Wave, or approximately 64.0% of the total issued and outstanding Class A Shares. Assuming full exercise of the Class A Share purchase warrants, the Fund would hold 212,895,454 Class A Shares representing approximately 66.7% of the total issued and outstanding Class A Shares. The Units were acquired for investment purposes.
