Brookfield Infrastructure Announces Exercise of Underwriters' Over-Allotment Option

Brookfield Infrastructure (NYSE:BIP) (TSX:BIP.UN) today announced that the underwriters for its recently completed public offering of 12,000,000 L.P. units (the "Offering") have exercised their option (the "Over-allotment Option") to purchase an additional 1,335,000 L.P. units at a price of $45.00 per L.P. unit (the "Offering Price"). Brookfield Infrastructure will receive additional gross proceeds of approximately $60 million from the exercise of the Over-allotment Option. Closing of the Over-allotment Option is expected to occur on or about May 1, 2015.

As previously announced, Brookfield Asset Management Inc. (NYSE:BAM) (TSX:BAM.A) (EURONEXT:BAM) and certain of its related entities (other than Brookfield Infrastructure) (collectively, "Brookfield") purchased, directly or indirectly, 8,101,850 redeemable partnership units of Brookfield Infrastructure's holding limited partnership ("RPUs") at the Offering Price (net of underwriting commissions) concurrent with the Offering.

The aggregate gross proceeds under the Offering, including the Over-allotment Option, and the private placement to Brookfield total approximately $950 million.

Although the Over-allotment Option is exercisable at any time up to May 13, 2015, to purchase up to an additional 1,800,000 L.P. units, the underwriters have indicated to Brookfield Infrastructure that they will not exercise the Over-allotment Option for the remaining 465,000 L.P. units.

RBC Capital Markets, Credit Suisse, HSBC and TD acted as co-lead underwriters for the public offering.
