Brookfield Office Properties Completes Tender Offer for Preferred Shares of MPG Office Trust, Inc.

NEW YORK, NY--(Marketwired - Oct 15, 2013) - Brookfield Office Properties Inc. (NYSE: BPO) (TSX: BPO) announced today that DTLA Fund Holding Co. and Brookfield DTLA Fund Properties Holding Inc., both direct wholly owned subsidiaries of the DTLA Fund (defined below), successfully completed their previously announced tender offer to purchase shares of preferred stock of MPG Office Trust, Inc. (NYSE: MPG). The tender offer expired at 6:00 p.m., New York City time, on Monday, October 14, 2013. 

American Stock Transfer & Trust Company, LLC, the depositary for the tender offer, has advised BPO that, as of 6:00 p.m. New York City time, on Monday, October 14, 2013 when the tender offer expired, 372,901 shares of MPG preferred stock were validly tendered and not properly withdrawn, representing approximately 3.832% of the outstanding shares of preferred stock of MPG. All shares that have been validly tendered and not properly withdrawn have been accepted for purchase, and payment for such shares will be made promptly in accordance with the terms of the tender offer and Merger Agreement (defined below) at the offer price of $25.00 per share, net to the seller in cash, without interest and less any applicable withholding taxes.

BPO previously announced its intention to acquire MPG pursuant to a merger agreement, dated as of April 24, 2013 (the "Merger Agreement"), by and among Brookfield DTLA Holdings LLC, a newly formed fund controlled by BPO (the "DTLA Fund"), Brookfield DTLA Fund Office Trust Investor Inc. ("Sub REIT"), Brookfield DTLA Fund Office Trust Inc. ("REIT Merger Sub"), Brookfield DTLA Fund Properties LLC, MPG and MPG Office, L.P. Shares of MPG preferred stock that were not validly tendered in the offer remain outstanding and, upon the consummation of the merger of MPG with into REIT Merger Sub as contemplated by the Merger Agreement (the "REIT Merger"), each issued and outstanding share of MPG preferred stock will be canceled in exchange for one share of 7.625% Series A Cumulative Redeemable Preferred Stock of Sub REIT. On October 9, 2013, BPO and MPG announced that they expect to consummate the REIT Merger on October 15, 2013.
