Castillian Resources Acquires Ferus Resources Ltd.

TORONTO, ONTARIO--(Marketwire - April 28, 2009) -

Castillian Resources Corporation (TSX VENTURE:CT) ("Castillian" or the "Company") is pleased to announce that it has completed its previously announced acquisition of the issued and outstanding common shares of Ferus Resources Ltd. ("Ferus"), a private mineral exploration company, incorporated pursuant to the laws of the Province of Ontario (the "Acquisition")(See Press Release dated December 16, 2008). Approximately 99.5% of Ferus shareholders, holding in the aggregate 20,600,002 common shares of Ferus, entered into definitive share exchange agreements with Castillian.

In connection with the Acquisition, Ferus shareholders will receive one common share of Castillian (the "Castillian Shares") in exchange for every 1.46 common shares of Ferus (the "Ferus Shares"). Accordingly, Castillian will issue an aggregate of 14,109,571 Castillian Shares valued at $0.035 per share to the shareholders of Ferus. Ferus Shareholders will hold approximately 13.3 % of the Company. The consideration paid by Castillian to Ferus is valued at approximately $495,000.

Regulatory Approvals

Completion of the Acquisition is subject to a number of conditions, including without limitation, TSX Venture Exchange acceptance and receipt of other regulatory approvals. Mr. Stan Bharti, the Chairman of Castillian, indirectly holds 4,000,000 Ferus Shares.
