Choate, Hall & Stewart and Windjammer Capital Investors Win 2015 "M&A Sector Deal of the Year" Award From M&A Advisor

BOSTON, MA--(Marketwired - Nov 20, 2015) - Choate, Hall & Stewart LLP and Windjammer Capital Investors won The M&A Advisor's 2015 M&A Sector Deal of the Year award in the "Industrial Goods and Basic Resources (over $100MM)" category for the sale of Windjammer's portfolio company Protective Industries, Inc. (Caplugs) to Berwind Corporation in April 2015. The M&A Advisor Awards, which recognize the leading transactions, firms, and individuals that represent the highest levels of achievement in the industry, were presented at a major event in New York City on November 17, 2015.

The Windjammer deal, which was the private equity firm's largest transaction ever, represented the capstone on Windjammer's initial acquisition of Caplugs in May 2011. Choate led the May 2011 acquisition and handled four separate add-on acquisitions for Windjammer and Caplugs between 2011 and 2015 before working with the companies to craft and direct a sale process that delivered significant value to Windjammer, its limited partners, and Caplugs' management team. During Windjammer's ownership, Caplugs' revenues and EBITDA more than doubled as a result of both organic and M&A initiatives.

The nearly 20-lawyer deal team from Choate included partner Christian Atwood, who led the deal, and partners Louis Marett (tax), Arthur Meyers (benefits), and Bob Buchanan (antitrust). Other key advisors included investment banking firm Houlihan Lokey (led by Scott Richardson, Reed Anderson, and Tony Meixelsperger) and accounting firm Alvarez & Marsal (led by Michael O'Dowd and Andrew Carroll).

Choate and Windjammer were also finalists in this year's M&A Deal of the Year ($500 million - $1 billion) category and the Industrial Manufacturing and Distribution Deal of the Year (over $500MM) category. Earlier this year, Choate was a finalist in The M&A Advisor International M&A Awards in both the "Cross Border M&A Deal of the Year" ($500 million - $1 billion) and the "Financial Services Deal of the Year" categories for its representation of Numeric Investors, which was acquired by Man Group in September 2014.
