CN to hold annual meeting of shareholders on April 21, 2006, in Memphis, Tenn.

MONTREAL, QUEBEC--(CCNMatthews - March 22, 2006) - CN announced today that it will hold its annual meeting of shareholders on April 21, 2006, in Memphis, Tenn.

The meeting will be held at the Peabody Memphis hotel, Venetian Room, 149 Union Avenue, starting at 9 a.m. Central Time. CN will provide an audio webcast of the proceedings via the Investors' section of its website,

Memphis, a major freight distribution hub, is a key operating centre on CN's North American rail network and an important destination for freight traffic on its system. In addition, the city is the gateway to CN's Gulf Division in the southern U.S. - home to the important rail centres of Jackson, Miss., and New Orleans, the petrochemical production region around Baton Rouge, La., and the Port of Mobile, Ala. Memphis is the only U.S. location outside of Chicago where CN interchanges freight traffic with four of the major Class 1 U.S. railroads.

CN also announced today that its Notice of Annual Meeting of Shareholders and Management Information Circular, its 2005 Annual Report and 2005 Annual Information Form are available within the Investors' section of its website.
