NEW YORK, NY--(Marketwired - Mar 20, 2014) - China Metro-Rural Holdings Limited (NYSE MKT: CNR) (the "Company") is pleased to announce the closing of a private placement of US$10,000,000 principal amount, 10 per cent convertible bonds due 2016 (the "2014 Bonds"), to a major shareholder (the "Major Shareholder") as a result of a commitment made by the Major Shareholder in December 2013 in connection with the issuance of US$15 million convertible bonds (the "2013 Bonds") for which the Major Shareholder was a subscriber. The 2014 Bonds are convertible into ordinary shares of the Company ("Ordinary Shares") at an initial conversion price of US$1.30 per share, in a private placement. The 2014 Bonds have the same terms as the 2013 Bonds.
