Consolidated Thompson Iron Mines Limited Mails Meeting Materials Following Receipt of Interim Court Order With Respect to Arrangement With Cliffs Natural Resources Inc.

MONTREAL, QUEBEC--(Marketwire - Feb. 3, 2011) - Consolidated Thompson Iron Mines Limited (TSX:CLM) ("CLM" or the "Corporation") today announced that it has completed the mailing of shareholder meeting materials in connection with its previously announced transaction pursuant to which Cliffs Natural Resources Inc. ("Cliffs") will acquire all the outstanding common shares of CLM by way of a plan of arrangement (the "Arrangement"). The Arrangement will be considered by CLM shareholders at a special meeting called for February 25, 2011 (the "Meeting"). The shareholder meeting materials are available for review at www.sedar.com and on the Corporation's website at www.consolidatedthompson.com.

CLM obtained an interim order of the Superior Court of Quebec under the Canada Business Corporations Act to authorize the shareholder meeting process in connection with the Arrangement. The Arrangement is subject, among other things, to the approval of at least 66 2/3% of the votes cast at the Meeting. Assuming the Arrangement is approved at the Meeting, CLM will return to court on March 1, 2011 to seek a final order to implement the Arrangement. The closing of the Arrangement is subject to certain customary conditions, including obtaining certain regulatory approvals.
