Cotton & Western Mining to File With SEC to Become Fully Reporting

Management Sites Strong Outlook and Order Demand

RICHMOND, TX -- (MARKET WIRE) -- May 2, 2006 --Cotton & Western Mining, Inc. (OTC: CWRN), a global iron ore mining company, announced today they will be filing the Company's Form 10-SB Registration, making Cotton & Western Mining fully reporting with the Securities and Exchange Commission (SEC). Such filing is to be made with the SEC by the end of August 2006.

Cotton & Western Mining is currently trading on the Pink Sheets under the symbol CWRN. Upon the effective date of the Form 10-SB filing, the Company will attain Section 12 (g) reporting status with the SEC, under the Exchange Act of 1934, which will allow for broader market participation in the Company's shares by institutional investors. It is anticipated that reporting status will be achieved no later than October 2006, with the Company then becoming electronically traded in a regulated market for small reporting companies.

Robert Cotton, Jr., President and CEO of Cotton & Western Mining, states, "Revenues developed as a result of the Company's successful increased global iron ore demand, coupled with aggressive acquisitions of mineral rich mines, plus the increasing broker/dealer interest in CWRN, are the key drivers in Cotton & Western filing a Form 10-SB." Mr. Cotton further stated, "We are months ahead of our 2006 strategic business plan. This registration will allow for institutional investment in CWRN and a lower cost of capital to increase our global mining efforts. Despite our listing on the Pink Sheets Exchange, we will have full GAAP audits for our last two calendar years, allowing for a seamless transition to reporting status."
