Court Orders Dissident Wi-LAN Shareholders to Comply with Law

CALGARY, CANADA--(CCNMatthews - April 7, 2006) - Wi-LAN Inc. (TSX:WIN) (Wi-LAN or "the Company") Wi-LAN announced today that the Alberta Court of Queen's Bench has issued an Order requiring that a group of dissident Wi-LAN shareholders comply with applicable corporate law in soliciting proxies for the election of directors at Wi-LAN's upcoming annual and special general meeting to be held on April 20, 2006.

The Court Order prohibits this group of dissident shareholders from further illegal proxy solicitation activities. It requires that the dissident group prepare and disseminate to Wi-LAN shareholders a proxy circular setting out the prescribed information. Under applicable law, the dissidents will be required to certify that their circular contains no untrue statement of the material facts.

The management of Wi-LAN certified and filed a proxy circular dated March 8th. This circular includes information concerning the dissident group's proposal and slate of directors, notwithstanding that the material from the dissidents was received subsequent to the deadline by which it was required to be included. Shareholders can view this proxy circular on the Company's website at www.wi-lan.com.

The 2006 Annual and Special Meeting of Shareholders of Wi-LAN Inc. will be held at 5 p.m. at the Sheraton Cavalier Hotel, 2620 32nd Avenue N.E., Calgary, Alberta on April 20, 2006. Management recommends that Wi-LAN shareholders vote their proxy FOR all resolutions. Proxies must be returned by April 19, 2006 at 5:00 p.m. Calgary time for your vote to count.
