Cynapsus Raises Additional $1.3 Million As Part Of Short Form Prospectus Offering

TORONTO, ONTARIO--(Marketwire - March 21, 2013) -

Cynapsus Therapeutics Inc. (TSX VENTURE:CTH) is pleased to announce that it has completed a second closing of its short form prospectus offering (the "Offering") of units ("Units") for gross proceeds of $1,309,160 (the "Second Closing"). On March 1, 2013, the Company completed a first closing of the Offering for gross proceeds of $6,008,000 (the "First Closing"). Total gross proceeds from the First Closing and the Second Closing of the Offering are equal to $7,317,160.

Pursuant to the Second Closing of the Offering, the Company issued an aggregate of 2,846,000 Units at a post-consolidation price of $0.46 per Unit raising gross proceeds of $1,309,160. Each Unit consists of one common share (each, a "Common Share") in the capital of the Company and one common share purchase warrant (each, a "Warrant") of the Company. Each Warrant, whether issued on the date of the First Closing or the date of the Second Closing, will entitle the holder to purchase one Common Share (each, a "Warrant Share") at a price equal to $0.575 per Warrant Share for a period of 60 months after the date of the First Closing, except, that the Warrants will be cancelled if they are not exercised within 30 days after prior written notice from the Company that the closing price of its Common Shares on the principal stock exchange of the Company has been three times the Offering Price for 20 consecutive trading days.

The net proceeds of the Offering will be used to fund the Company's CTH-201 Bioequivalence Study and for general working capital purposes.

Agency Agreement

M Partners Inc. (the "Agent") is the lead agent in the Offering pursuant to an agency agreement entered into between the Company and the Agent on February 21, 2013. In connection with the Second Closing of the Offering, the Company paid to the Agent a cash commission of $33,064 and issued 71,880 non-transferable compensation warrants, each exercisable to purchase one Cynapsus common share on the same terms as the warrants issued in the Offering.

In addition, in connection with the Second Closing of the Offering, the Company paid other registered dealers and brokers that assisted with the Offering total cash commissions of $71,668 and issued 155,800 non-transferable compensation warrants, each exercisable to purchase one Cynapsus common share on the same terms as the warrants issued in the Offering.

Closing

Closings of additional tranches of the Offering may occur on one or more Closing Dates as the Company and the Agent may agree. The Offering will be discontinued on the earlier of the date that the maximum Offering of $8,000,000 has been subscribed for and May 21, 2013.
