Duncan Park Announces Amendments to Proposed Private Placement

TORONTO, ONTARIO--(Marketwire - Nov. 12, 2008) - Duncan Park Holdings Corporation (TSX VENTURE:DPH) announced today that it is amending certain terms of its proposed non-brokered private placement announced on November 4, 2008.

Under the new terms of the proposed private placement, the Company is seeking to raise up to $200,000 in aggregate gross proceeds through the issuance of up to 6,666,666 units at a price of $0.03 per unit.

Each unit will be comprised of one common share and one common share purchase warrant. Each warrant will be exercisable at a price of $0.05 per share during the first 12 months of its term and thereafter at a price of $0.10 per share during the second 12 months of its term.

Under the initial terms of the private placement, the Company sought to raise up to $300,000 in aggregate gross proceeds through the issuance of 6,000,000 units at a price of $0.05 per unit. Each unit was to be comprised of one common share and one common share purchase warrant exercisable for 12 months at a price of $0.10 per share.

The new pricing of the units and the change in the exercise price of the warrants during the first year are consistent with temporary measures recently implemented by the TSX Venture Exchange.

Proceeds from the proposed best efforts private placement will be used for drilling on the Company's Rock Creek property and general working capital purposes.

The private placement remains subject to regulatory approval.
