eInstruction(R) Finalizes Acquisition of Interwrite Learning(TM)

Merger Provides Education Market Best-of-Breed Classroom Instruction and Response Technology With Robust Content and Software Offerings


DENTON, TX and COLUMBIA, MD--(Marketwire - January 7, 2008) - eInstruction and Interwrite Learning™, both leading providers of interactive instructional and assessment technology, today announced the completion of eInstruction's purchase of Interwrite Learning. The merger opens a wealth of opportunities to best serve the K-12 and higher education markets worldwide by building on the significant impact of both companies' leading technology solutions. The intention to merge was first announced December 4, 2007.

The agreement includes the acquisition of GTCO CalComp, a subsidiary of Interwrite Learning. The combined company will be headquartered in Denton, Texas, with offices located in Columbia, MD, Scottsdale, AZ, Cincinnati, OH and Paris, France.

eInstruction was represented by Goodwin Procter LLP while Interwrite Learning was represented by Pillsbury Winthrop Shaw Pittman LLP and advised by Berkery, Noyes & Co., LLC during the acquisition. Terms of the transaction were not disclosed.
