eInstruction to Acquire Interwrite Learning

Combined Portfolio Offers K-12 and Higher Education Educators Broad Range of Teaching and Assessment Tools; Richest Publisher Content in Space

DENTON, TX--(Marketwire - November 26, 2007) - eInstruction and Interwrite Learning, both leaders and innovators in interactive instructional and assessment technology, software, and content for the education market, today announced the signing of a definitive agreement for eInstruction to purchase Interwrite Learning. This acquisition doubles the size of eInstruction and significantly expands its interactive classroom solutions:

-- Technology -- Student response systems, interactive whiteboards,
    mobile teacher slates and teacher panels;
-- Software -- ExamView® Assessment Suite, CPS, Interwrite
    Workspace™, Interwrite Response and REAP; and
-- Content -- Over 5 million publisher textbook questions available
    through ExamView, Learning Series proprietary questions aligned to state
    standards, and Interwrite learning objects.

Darrell Ward, eInstruction's founder, will remain as chief executive officer and Steve Kaye, Interwrite's co-president and chief operating officer, will become president. eInstruction is a portfolio company of Leeds Equity Partners, LLC, a New York based private equity firm.

"Our goal is to deliver solutions that improve student outcomes, increase the effectiveness and efficiency of instructors and provide greater information for use by instructors, administrators and parents," said Ward. "We took an important step in achieving that goal in 2006 when we acquired the ExamView test generating software and the ExamView Learning Series item banks, which work in concert with our technology and software solutions. Now we will take another significant step by combining with Interwrite Learning."

"Our solutions allow instructors and schools to maximize the educational value they can achieve from an interactive classroom," said Kaye. "Educators can utilize content, such as digital lesson plans and questions aligned to state standards, to provide formative instruction while being more efficient. Our customers can look forward to continuity on all our current products and the benefits that we will soon deliver as we seamlessly integrate our best-of-breed portfolio."

"Palm Beach County Schools use products from both Interwrite Learning and eInstruction," said Danny Brisson, technology coordinator for Forest Hill High School. "Taken individually, they are great products. But it is really exciting when I anticipate how students, educators, and administrators will benefit from the integration of these leading platforms and the development of new products."

The acquisition is expected to be completed in December 2007. eInstruction was represented by Goodwin Procter LLP while Interwrite was represented by Pillsbury Winthrop Shaw Pittman LLP and advised by Berkery, Noyes & Co., LLC.

About eInstruction®

eInstruction pioneered the first student response system for the education market during the 1980s. Its Classroom Performance System (CPS) provides instructors and students with real-time feedback on comprehension during instruction. Today CPS remains the leading student response system in education, being used with over 1.5 million students in more than 60,000 K-12 classrooms and over 400,000 students in more than 400 colleges and universities.

In 2006, eInstruction acquired FSCreations and integrated its ExamView® and Learning Series software and content platforms so instructors can seamlessly use publisher and proprietary question banks in lesson plans, quizzes and tests with eInstruction technology. The result is an integrated system for instruction and assessment with real-time feedback.
