Enablence Technologies Closes a Tranche of the Financing


OTTAWA, CANADA--(Marketwired - Sept. 14, 2015) - Enablence Technologies Inc. ("Enablence" or the "Company") (TSX VENTURE:ENA), a leading supplier of optical components and subsystems for access, metro and long-haul markets, today announced the closing of a tranche of the financing announced on August 21, 2015 (the "Financing").

The previously announced Financing is for up to $10.0 million and is comprised of three components: (i) a non-brokered private placement financing (the "Equity Financing") for a minimum of $4.0 million; (ii) a conditional provision of a loan facility for up to $3.0 million, and (iii) the conversion of certain existing non-secured debt arrangements (not to exceed $3.0 million). Items (ii) and (iii) are subject to TSX Venture Exchange approval including the additional conversion of a recently received unsecured non-interest bearing short term bridge loan for $500,000 to be repaid by December 31, 2015 ("Short Term Loan").

It is expected that the Company will be closing a minimum of $500,000 of the Equity Financing by September 17, 2015, of which $210,000 has been received and closed at a price of $0.05 per unit ("Unit"). Each Unit will be comprised of one common share and one half of one common share purchase warrant ("Warrants"). Each Warrant is exercisable for a period of 18 months at an exercise price of $0.06 per Warrant. As a result, 4,200,000 shares and 2,100,000 Warrants were issued. The shares and Warrants are subject to a four month hold period expiring in early January 2016. It is expected that the Equity Financing will have a final closing by the end of September 2015.

The proceeds from the Equity Financing and the Short Term Loan are to be used to help fund the Company's growth, including the ability to meet increasing volume requirements from key customers and the ongoing research and development work and also to make payments in respect of certain secured loan arrangements.
