EnergySolutions Announces Exchange Offer for 10.75% Senior Notes Due 2018


SALT LAKE CITY, UT--(Marketwire - May 31, 2011) - EnergySolutions, Inc. (NYSE: ES) today commenced an exchange offer pursuant to which it is offering to exchange up to $300,000,000 in aggregate principal amount of its 10.75% Senior Notes due 2018, which have been registered under the Securities Act of 1933 (the "new notes"), for an equal aggregate principal amount of its outstanding 10.75% Senior Notes due 2018 (the "old notes"). The old notes were issued on August 13, 2010 in a transaction exempt from registration under the Securities Act of 1933. The terms of the new notes will be substantially identical to the terms of the corresponding old notes, except that the new notes will be registered under the Securities Act of 1933 and will not be subject to restrictions on transfer or provisions relating to additional interest. The new notes will bear a different CUSIP number from the corresponding old notes and will not entitle their holders to registration rights.

The terms and conditions of the exchange offer for the old notes are set forth in a prospectus dated May 31, 2011 and the related letter of transmittal. Except in some circumstances described in the prospectus, any and all old notes that are validly tendered in the exchange offer prior to 5:00 p.m., New York City time, on Tuesday, June 28, 2011, which is the expiration date of the exchange offer, will be accepted for exchange.
