Enterprise Partners Venture Capital Acquires Muze, Inc.

LA JOLLA, CA -- (MARKET WIRE) -- May 19, 2005 -- Enterprise Partners Venture Capital announced the acquisition of privately held Muze, Inc. of New York, New York, effective May 9, 2005. Muze has created the world's most comprehensive collection of electronic meta-data and related databases for music, books, videos and games, as well as customized e-commerce platforms for online and traditional retailers. Muze customers include eBay, Yahoo!/MusicMatch, Borders Books, RealNetworks, Best Buy and Overstock.com.

This acquisition marks a move into digital content management for Enterprise Partners, the largest venture capital group in Southern California. Enterprise's support will enable Muze to more aggressively expand, as a neutral third-party provider, the use of the Muze database for the management and retailing of digital content.

"Over the past 15 years, Muze has painstakingly developed a world-class library of meta-data that covers the entire range of entertainment content," said Bill Stensrud, managing director of Enterprise Partners. "As the acquisition of digital media content has exploded and digital collections have expanded, people are facing the headache of organizing and finding what they want. Muze data is the key that unlocks the promise of digital media."

"All of us at Muze are thrilled to join forces with Enterprise Partners, Bill Stensrud and Carl Eibl," said Paul Zullo, CEO of Muze. "We are especially proud of the relationships we have built over the years with many of the world's premier entertainment and retail companies, and we look forward to continuing to drive the adoption of digital media. We know many new and exciting opportunities will arise as a result of Enterprise Partners' involvement with the company."

Muze was founded in 1990 with angel investment money and was subsequently owned by John W. Kluge and the privately held Metromedia Company. The terms of the deal were not disclosed. William Stensrud and Carl Eibl, managing directors of Enterprise Partners, have joined the Board of Directors of Muze with Mr. Stensrud serving as Chairman of the Board.
