EnWave Closes Final Tranche of Private Placement


VANCOUVER, BRITISH COLUMBIA--(Marketwire - July 3, 2012) -

EnWave Corporation (TSX VENTURE:ENW)(FRANKFURT:E4U) ("EnWave", or the "Company") wishes to announce that, further to its June 14, 15 and 26, 2012, press releases, it has closed the final part of its non-brokered private placement. Including the closing of the first tranche announced on June 26th, 2012, the Company issued a total of 3,676,000 common shares at a price of $1.50 for cash gross proceeds of $5,514,000.

Cash commissions amounting to $48,825, corresponding to 5% of certain subscriptions, were paid to certain individuals who acted as finders in connection with the shares issued for this first tranche.

The common shares being issued in the final tranche will have a four-month hold period expiring on October 27, 2012, in compliance with TSX Venture Exchange policies and securities law. The private placement is subject to regulatory approval.

The proceeds will be used for advancement of the Company's research and development projects, for general working capital and corporate needs and for supporting the Company's acquisition of a 75.1% controlling interest in Hans Binder Maschinenbau GmbH, as previously announced.
