EPCOR Water (USA) Enters Agreement to Acquire North Mohave Valley Corporation


PHOENIX, ARIZONA--(Marketwired - April 19, 2013) - EPCOR Water (USA) Inc. (EPCOR USA), a wholly owned subsidiary of EPCOR Utilities Inc. (EPCOR), has reached an agreement to acquire substantially all of the assets of the North Mohave Valley Corporation for approximately US$2.35 million, subject to certain adjustments and regulatory approval by the Arizona Corporation Commission.

If approved by the Arizona Corporation Commission, North Mohave Valley Corporation will be the company's third acquisition, following the 2011 acquisition of Chaparral City Water Company and the 2012 acquisition of American Water's Arizona and New Mexico assets and operations.

Today, EPCOR USA is the largest, private regulated water utility in Arizona and New Mexico. As of December 31, 2012, EPCOR USA provides water and wastewater service to approximately 193,000 customer connections across 14 municipalities and six counties.

North Mohave Valley Corporation currently provides water service to approximately 2,000 customer connections in the Bullhead City area, a service territory that is contiguous to and surrounds a portion of EPCOR USA's Mohave district.

EPCOR USA provides water and wastewater service to more than 17,000 customer connections in the Mohave district. EPCOR USA also provides water and wastewater service for nearly 1,650 customer connections in neighboring Lake Havasu City. A regulatory decision from the Arizona Corporation Commission is expected in the first quarter of 2014.
