Eurocontrol Special Meeting Results

Unanimous Voting Approval by Shareholders


TORONTO, ONTARIO--(Marketwired - Dec. 18, 2015) - Eurocontrol Technics Group Inc. (TSX VENTURE:EUO) ("Eurocontrol" or the "Company"), a Canadian public company specializing in the acquisition, development and commercialization of innovative energy security, authentication, verification and certification technologies, is pleased to announce that at the Special Meeting of shareholders held today, the sale by the Company of its wholly owned subsidiary, Global Fluids International (GFI) S.A. ("GFI") to SICPA Finance SA ("SICPA"), a subsidiary of SICPA SA, each a privately owned company based in Switzerland in exchange for cash and post-closing earn-out payments was approved. At the meeting, proxies representing 38,347,820 shares (43% of the shares outstanding) were received with 100% of proxies voted in favour of the sale resolution. Closing of the sale transaction is expected to take place on January 4, 2016, subject to final approval of the TSX Venture Exchange and the satisfaction of a number of closing conditions as described in the Purchase Agreement.
